To transfer your membership to a different person or company, you'll need a formal transfer of your Membership Agreement. This article explains when you need one, the steps involved, what we'll need from you, how long it takes and what it costs.
A formal transfer, also called a novation, moves your Membership Agreement and all its rights and obligations from the current holder to a new holder. It's different from changing who manages your account in the JustCo App.
What you'll learn in this article
- when you need a formal transfer, and when you don't;
- the steps from request to confirmation;
- what information and documents we'll need;
- how long it takes and whether there's a charge; and
- what happens if the original signatory has left your company.
When do you need a formal transfer?
You need a formal transfer when the person or company that legally holds your Membership Agreement is changing. For example:
- you signed up in your own name and now want the membership under your company;
- an employee signed up and your company wants to take over the membership;
- the membership is moving from one company to another, or from one person to another; or
- your company's registration number wasn't recorded when you signed up and needs to be added.
This applies to Private Office, Dedicated Desk (Monthly), Hot Desk (Monthly) and Virtual Office memberships. Hot Desk (Day) passes and Meeting Room or Event Space bookings don't have a Membership Agreement, so this process doesn't apply to them. To give an unused Hot Desk (Day) pass to someone else, use Transfer in the JustCo App – see Can I change or transfer my Day Pass in JustCo App?
When don't you need one?
You don't need a formal transfer if the legal holder of your agreement stays the same. Contact us and we'll update your records or point you to the right process instead.
| What you want to do | Formal transfer? | What to do instead |
|---|---|---|
| Your company has changed its name, but it's still the same registered company (ie. business Registration number has not changed) | No | Send us your updated business registration document and we'll update our records. No fee applies. |
| Change your Primary Member or team members | No | A Primary Member can do this in the JustCo App under Admin > Company Members. |
| Update your billing contacts | No | Contact us with the new billing contact details. |
| Move to a different Home Centre | No | Home Centres can only change at renewal or with a new membership, not mid-term. See Can I change Home Centres? |
Same company, different number format? In some markets a company has more than one registration number that refers to the same entity. In Australia, for example, your ABN includes your ACN. If your documents show the same company, you don't need a transfer.
What are the steps?
- Contact us. Email store@justcoglobal.com with your Licence Agreement number and who the membership should transfer to.
- We confirm what's needed. We'll check whether a formal transfer is needed and ask for the information and documents listed below.
- We verify the new holder. We carry out identity, company or customer verification checks on the new holder, as local regulations require.
- We send you a Novation Agreement. We prepare the agreement with an effective date for the transfer and email it to you as a PDF.
- You sign and return it. The current holder and the new holder (or its authorised signatory) both sign. If you're moving a membership from your own name to your own company, you'll sign twice – once for yourself and once for your company.
- We countersign and update your records. JustCo countersigns the agreement and transfers the membership and billing records to the new holder.
- We confirm the transfer. We email you the countersigned agreement. The transfer is only complete once you've received this confirmation.
What will you need to provide?
- your Licence Agreement number and the centre named in your agreement;
- details of the current (aka Original Member) and new holders (aka Substitute Member): name, registered address, business registration number (if applicable), email and phone number;
- the name and title of each authorised signatory;
- a business registration document for any company involved, dated within the last 6 months:
- Singapore: ACRA Bizfile
- Australia: ASIC company extract
- Malaysia: SSM company profile
- Thailand: DBD company certificate
- proof of identity for any individual involved, dated within the last 3 months, such as a utility or phone bill showing a matching full name; and
- updated billing contact details, if they're changing.
How long does it take?
Your transfer takes effect at least 7 days after we've received everything we need – all information, documents and your signed agreement. We can't process same-day or backdated transfers.
Example
We send you a Novation Agreement with an effective date of 20 October.
- If we receive your signed agreement and documents by 13 October, the transfer takes effect on 20 October.
- If they arrive on 15 October, there are fewer than 7 days left, so the transfer takes effect on the next available date – 22 October. You won't need to sign again.
Will there be a charge?
It depends on who currently holds the agreement.
| Current holder | New holder | Administrative fee |
|---|---|---|
| Individual | Individual | Free |
| Individual | Company | Free |
| Company | Company | S$200 in Singapore |
| Company | Individual | S$200 in Singapore |
Any fee is added to the new holder's next monthly invoice and paid on the usual payment terms.
What if the person who signed our agreement has left the company?
They're still the legal holder of the agreement, so they need to sign the Novation Agreement as the current holder. Your company will need to contact them for their signature.
If you can't reach them, let us know and we'll explain your options.
Are there extra checks for Private Office and Virtual Office memberships?
Yes. In Singapore and Australia, JustCo must carry out due diligence on anyone using its address as a business address – under the Corporate Service Providers Act 2024 in Singapore and the AML/CTF Act 2006 in Australia. The new holder goes through the same verification as a new Virtual Office customer. We can only confirm the transfer once all checks have been passed, which may take longer. See What is KYC and why is it required for Virtual Office?
While your transfer is in progress, the current holder remains responsible for the membership, including payments, until the transfer takes effect. You may receive automated verification reminders during this time – you can disregard them.
